These Terms and Conditions ("Terms") govern your use of the website and services provided by WEBEAGLE TECHNOLOGY PRIVATE LIMITED ("WebeagleTech", "we", "our", or "us"), a company incorporated under the Companies Act, 2013, with CIN U46901RJ2023PTC089255, registered at F. No. F-1, 1st Floor, P. No. A-5, Manglam City, Hathoj, Jaipur — 302012, Rajasthan, India.

By engaging our services or accessing our website, you agree to be bound by these Terms. Please read them carefully.

1. Services

WebeagleTech provides the following services to clients:

  • Website design and development
  • AdSense-integrated website creation and setup
  • Google Ads campaign management
  • Microsoft (Bing) Ads campaign management
  • Search Engine Optimisation (SEO)
  • Digital marketing consulting and analytics reporting

The scope, deliverables, timelines, and pricing for each engagement are defined in a separate project agreement or service contract signed between WebeagleTech and the client.

2. Client Obligations

Clients agree to:

  • Provide accurate and complete information required for project delivery
  • Respond to queries and provide approvals within agreed timelines
  • Ensure all content, images, and materials provided are legally owned or licensed
  • Not use our services for any unlawful, deceptive, or fraudulent activity
  • Comply with Google Ads, Microsoft Advertising, and Google AdSense policies

3. Payments

Payment terms are as specified in the individual service agreement. General terms include:

  • Web development projects require a 50% advance before work commences
  • Remaining balance is due upon project delivery or as per milestone schedule
  • Monthly retainer services (ad management, SEO) are billed at the beginning of each billing cycle
  • All prices are in Indian Rupees (INR) and are exclusive of GST unless stated otherwise
  • Late payments may attract a 2% monthly interest charge

4. Intellectual Property

Upon full payment, the client receives ownership of the final website deliverables (design and code) created specifically for them. WebeagleTech retains the right to showcase completed work in its portfolio unless explicitly restricted in writing.

Third-party tools, plugins, themes, or software incorporated into projects remain subject to their respective licences. WebeagleTech retains ownership of all proprietary processes, methodologies, and templates used in service delivery.

5. Ad Campaign Management

For Google Ads and Bing Ads management services:

  • The client retains ownership of their ad accounts and ad spend budgets
  • WebeagleTech does not guarantee specific ad performance outcomes, as results depend on market conditions, budget, competition, and platform algorithms
  • We will make reasonable efforts to optimise campaigns for the best possible results
  • Clients are responsible for ensuring their landing pages and offerings comply with platform advertising policies

6. Limitation of Liability

To the maximum extent permitted by applicable law, WebeagleTech shall not be liable for:

  • Indirect, incidental, or consequential damages arising from use of our services
  • Loss of revenue, profits, or business opportunities
  • Downtime caused by third-party hosting providers or platform outages
  • AdSense account suspension or disapproval by Google
  • Changes in Google Ads or Microsoft Advertising platform policies that affect campaign performance

Our total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives the termination of the service agreement.

8. Termination

Either party may terminate an ongoing service engagement with 30 days' written notice. For project-based work, termination mid-project will require payment for all work completed to the date of termination. Advance payments are non-refundable once work has commenced.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan.

10. Amendments

WebeagleTech reserves the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
